WMD, a specialized M&A advisory firm for SMEs, has published a practical guide for business owners and practitioners, 'M&A Manual for M&A and Investment Attraction'.
This book focuses on alleviating the complexity of M&A perceived by SMEs' executives and practitioners and providing practical execution strategies.
The domestic small and medium M&A market faces difficulties in accessing professional advice compared to larger transactions. The author addresses these challenges by offering practical solutions tailored to the needs of SMEs. It explains negotiation, due diligence, valuation, contract signing, and post-merger integration (PMI) in a manner easily comprehensible to readers new to M&A.
It particularly covers various variables and response strategies that may arise on the actual M&A field, providing practical tips as well. It preemptively analyzes 'deal breaker' elements that can impede deal closures, suggests prerequisites to prevent negotiation breakdowns, and promotes successful transactions.
Additionally, it clearly organizes the essential points of risk management in the M&A process, hostile M&A defense strategies, and methods for business succession, step by step. ‘M&A Manual for M&A and Investment Attraction’ is a collaborative effort by WMD experts with extensive practical experience.
The authors include Jemin Lee, a former leader from Samjong KPMG (lawyer and accountant), Sangbin Kwak, a deputy representative at Kim & Chang who has handled M&A transactions (lawyer, accountant, appraiser), and Ingu Jeon, the deputy head of 'Ingu Jeon Economic Research Institute' with 1.03 million subscribers.
Furthermore, other domain experts, such as Sungsoo Jang, a lawyer with PWC consulting and startup founding experience, Sanghyun Lee, an accountant who handled IPO tasks at KB Securities, Jeongtaek Lim, a lawyer from Sejong Law Firm, and Hyunwoo Jang, a lawyer with expertise from the Ministry of SMEs and Startups and legal broadcasting experience, have collectively contributed to this work.
Jemin Lee stated, "The SME M&A market often leaves new owners and practitioners feeling at a loss due to a lack of information and support," adding, “This book will be a useful reference that concisely organizes the main stages and key points for SME executives to efficiently prepare for M&A and investment attraction.”
In the meantime, WMD is enhancing the M&A company matching process through ATLAS (Automated Transaction Valuation Analysis System), utilizing AI technology. This system analyzes data from over a million companies to assess M&A demands and automatically estimate possible sale prices. Moving forward, they plan to automate the preparation of teasers and information memoranda used in M&A processes.
